Why it Matters: The acquisition highlights growing demand for AI-driven platforms that unify pricing, customer engagement and compliance functions within financial institutions. As banks seek to deliver personalised offers while navigating complex regulations, technologies that automate disclosures, marketing compliance and offer management are becoming increasingly valuable.

Zafin has signed a definitive agreement to acquire Naehas, a provider of offer management, disclosure automation and marketing compliance technology, as it looks to expand its AI-powered platform for regulated institutions.

The proposed acquisition is expected to strengthen Zafin’s technology portfolio by adding capabilities in marketing, customer offers and regulatory compliance, supporting financial institutions as they seek to deliver more personalised products while maintaining oversight and control.

The deal aligns with Zafin’s broader strategy of building AI-enabled solutions for regulated industries, where product management, pricing, marketing and compliance functions are becoming increasingly interconnected.

Charbel Safadi, CEO of Zafin, said, “Our strategy is to build the trusted platforms that help institutions lead through this transition with greater intelligence, control and accountability. Naehas brings proven capabilities across marketing, offers and compliance that complement this vision. Signing this agreement marks an important step toward expanding what Zafin can enable for regulated institutions.”

The acquisition comes as banks and financial institutions seek technologies that allow them to respond more quickly to customer needs while meeting increasingly complex regulatory requirements. As a result, organisations are looking to integrate product development, relationship pricing, offer management and compliance processes more closely.

If completed, the acquisition would enhance Zafin’s existing platform with Naehas’ established capabilities in offer management, disclosure automation and marketing compliance, creating additional opportunities to serve financial services clients and potentially other regulated sectors in the future.

Rab Govil, founder and CEO of Naehas, said, “We built Naehas to change those economics. Together with Zafin, we have an opportunity to turn relationship pricing into offers that reach customers faster, increase share of wallet, and improve relationship profitability.”

The companies said the transaction remains subject to customary closing conditions and regulatory approvals and is expected to close in the fourth quarter of 2026. Until then, both Zafin and Naehas will continue to operate independently.
