Indiabulls Ventures to acquire 70% stake in Fintech Cloud

Indiabulls Ventures has agreed to acquire a 70% stake in Fintech Cloud Private Limited for $142.6 million, according to a regulatory filing, as the company seeks to expand into the FinTech and lending technology segment. 

The transaction values Fintech Cloud at $203.7 million on an equity basis and will provide Indiabulls with a foothold in technology solutions for non-banking financial companies (NBFCs) and other lenders. 

Fintech Cloud provides loan lifecycle technology, including platforms for loan origination, underwriting, and servicing, to regulated financial institutions. The acquisition is expected to strengthen Indiabulls’ technology business and diversify its offerings within the financial services sector. 

The deal will be executed through a scheme of arrangement subject to approval from the National Company Law Tribunal (NCLT). Indiabulls plans to settle the consideration through the issuance of up to 21 crore fully paid-up equity shares, subject to applicable pricing and regulatory requirements. 

Following completion of the transaction, Indiabulls will have the right to appoint a majority of directors to Fintech Cloud’s board. 

Fintech Cloud reported gross revenue of $18.2 million and profit before tax of $4.12 million in FY26. The performance represents a significant increase for the company, which was incorporated in January 2021 and recorded no turnover in FY24 and FY25. 

Indiabulls stated that the proposed acquisition is not a related-party transaction and that neither the company nor its promoter group has any existing interest in Fintech Cloud. 

The transaction is expected to be completed within nine to 12 months, subject to approvals from the NCLT, the Securities and Exchange Board of India (SEBI), stock exchanges, and shareholders. 

The acquisition highlights a growing trend of established financial services firms acquiring FinTech capabilities to accelerate digital transformation, particularly as NBFCs increase investments in technology-driven lending, underwriting, and loan servicing platforms.
