Why it matters: The acquisition combines AI, compliance and offer management capabilities, helping financial institutions accelerate customer engagement while maintaining regulatory oversight.

AI-powered banking software and platforms for banks, credit unions, and other regulated financial institutions, Zafin has signed a definitive agreement to acquire Naehas, a US-based provider of offer management, disclosure automation and marketing compliance technology for financial institutions.

The company said the addition of Naehas’ technology would strengthen its capabilities in marketing, offers and compliance, helping financial institutions respond more quickly to customer needs while maintaining regulatory controls.

Charbel Safadi, CEO of Zafin, said, “Our strategy is to build the trusted platforms that help institutions lead through this transition with greater intelligence, control and accountability. Naehas brings proven capabilities across marketing, offers and compliance that complement this vision. Signing this agreement marks an important step toward expanding what Zafin can enable for regulated institutions.”

The deal reflected a broader trend across financial services, where product development, pricing, marketing, customer offers and compliance processes are becoming increasingly connected. Financial institutions are seeking technologies that can simplify these functions while improving speed, efficiency and governance.

Zafin has been expanding its technology portfolio to address these challenges. Its offerings include Zafin AIOS for governed agentic execution, the Zafin Banking Platform for AI-powered banking execution, and the Zafin IO platform for enterprise integration.

With the addition of Naehas, Zafin expects to further enhance its portfolio with proven capabilities in offer management, disclosure automation and marketing compliance. The company said the transaction could also create opportunities to serve additional regulated industries beyond financial services over time.

Rab Govil, founder and CEO of Naehas, said the company was established to reduce the cost and complexity of launching customer offers. He added that combining Naehas’ capabilities with Zafin’s technology could help financial institutions deliver offers more quickly, improve customer engagement and increase relationship profitability.

The transaction is expected to close in the fourth quarter of 2026, subject to customary closing conditions and regulatory approvals. Until the transaction is completed, Zafin and Naehas will continue to operate as separate companies.
